Chances are they're both the same price and probably only 3200 is available.
It's all compatible so if the motherboard takes either it's irrelevant.
The speed difference on a PC of the vintage that takes that memory is trivial. The added memory will make much much more difference just by existing.

PC3200 = DDR400
If your CPU is using a 333MHz FSB, use either type.
If your CPU is using a 400MHz FSB, use PC3200.
That said, if you're adding rather than replacing, it is better to match the stuff already installed, if possible.
Richard.

crucial.com has a handy tool to tell you what your computer is rated at and how much ram you can put in it. if you run windows, you can download their scanning tool. i've used it several times to determine what my various machines needed.
if you run linux, you have to go through a few more steps and you may find that only firefox renders the page accurately.

Quote from: penfold It dosnt really matter,
unless you try to run PC2700 at PC3200 speed - that's just asking for a blue screen!

Which presumes the motherboard supports either, and this is almost always automatic.
The tone of the question doesn't suggest a rampant overclocker... (they wouldn't need to ask)

Quote from: morgan2476 what I was looking to do was to upgrade processor and memory.
To be honest, I wouldn't, certainly not processor.
Processor upgrades are riskier than memory, and you really need to know what you're doing.
All due respect, but your initial question suggests that you probably don't know enough.
